Apeiron Private Concierge Ltd is in the process of being incorporated in England and Wales. Company registration number and registered office address will be added here once incorporation is complete. Until then, these terms are provided by the founders of Apeiron ahead of that process.

1. Who we are

Apeiron ("Apeiron", "we", "us", "our") is a private, invitation-led concierge membership operated by Apeiron Private Concierge Ltd, a company incorporated (or being incorporated) in England and Wales [registration number and registered office to be confirmed]. We provide a mobile application and concierge team through which members can request bookings, arrangements and access to travel, dining, events, luxury goods and related services.

We are not an airline, hotel, restaurant or retailer. We act as an intermediary who arranges and facilitates bookings with third-party suppliers on your behalf, as described in section 12.

2. Acceptance of these terms

By creating an Apeiron account, accepting a membership invitation, or using the Apeiron app, you agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree, you should not use Apeiron.

If you are using Apeiron on behalf of, or as the personal assistant of, another individual, section 9 applies to you specifically.

3. Membership eligibility

Apeiron membership is invitation-led. We may decline, delay or revoke an invitation or application at our discretion, including where we are unable to verify your identity or payment details, or where we reasonably believe accepting you would not be consistent with the level of service we provide our members.

You must be at least 18 years old and have full legal capacity to enter into a binding contract to become a member.

4. Your account

You are responsible for keeping your login details secure and for all activity that occurs under your account, including activity by a personal assistant you have added (see section 9). Tell us immediately if you suspect unauthorised use of your account.

The information you give us when you join, and afterwards, must be accurate and kept up to date — in particular your contact details, payment details and, where relevant, your primary city.

5. Trial period

New members typically receive a 14-day trial of Apeiron before payment is required. During the trial you can submit requests and receive proposals from your concierge team as normal.

Once your trial ends, continued access to the app requires selecting a membership tier and completing payment. If payment is not completed, your account is locked until you do so; nothing is charged automatically without your action.

6. Membership fees & payment

Apeiron offers a small number of membership tiers, each with its own annual fee and, for some tiers, a one-off initiation fee. The exact fees for each tier are shown to you in the app before you are asked to pay, and are also confirmed to you at the point of payment.

Payments are processed securely by Stripe, our payment processor. We never see or store your full card number — Stripe handles this on our behalf, and we only hold a reference to your saved payment method.

Membership fees are billed annually. Unless otherwise stated at the time, membership fees are non-refundable once paid, including if you choose to stop using Apeiron part-way through a membership year. This does not affect your right to cancel under applicable consumer law, where that applies to you.

Individual concierge requests and bookings (for example, a restaurant reservation, hotel stay, event ticket or luxury goods purchase) are priced and paid for separately, as described in section 7.

7. Requests & proposals

When you submit a request, your concierge team will get in touch — usually within the app's chat — and may send you one or more proposals. Each proposal sets out what is being offered, including price (where applicable), key details (date, time, party size, location) and any terms specific to that booking, such as cancellation or deposit conditions.

Accepting a proposal is a binding commitment to pay the price shown, and is subject to the specific terms shown on that proposal (for example, a supplier's cancellation policy). Where a price applies, payment is normally taken at the point you accept, using your saved payment method or, where offered, any available referral credit applied to that booking.

We will always try to secure exactly what was proposed, but bookings ultimately depend on third-party suppliers (for example, a restaurant, airline or hotel). In the rare event a supplier is unable to honour a confirmed booking, we will work with you on an alternative or a refund of the amount paid for that specific booking.

8. Cancellations, changes & refunds

Cancellation and refund terms for a specific booking are set out in that proposal's own terms (shown to you before you accept), and vary by supplier — for example a restaurant may allow free cancellation up to 24 hours before, while a bespoke or high-value booking may carry a non-refundable deposit. Please read these before accepting.

To cancel or change a confirmed booking, contact your concierge team through the app as early as possible. We will do what we reasonably can to accommodate a change, but cannot guarantee it, and any supplier cancellation fees will be passed on to you.

9. Personal assistants

A member may invite one personal assistant to help manage their requests within the app. A personal assistant can view and manage requests on the member's behalf, but cannot complete a payment — only the member themselves can confirm and pay for a proposal.

Members remain fully responsible for all actions taken by their personal assistant within the app, including requests submitted and proposals accepted on their behalf.

10. Referral credits

From time to time, members may earn referral credit for introducing new members to Apeiron. Referral credit has no cash value, cannot be exchanged for cash, and can only be applied towards the price of an eligible proposal within the app. We may change how referral credit is earned or used, or its expiry, on reasonable notice.

11. Acceptable use

You agree not to use Apeiron to request anything unlawful, and not to abuse, harass or mistreat any member of our concierge team or any third-party supplier we work with. We may suspend or terminate your membership for a serious or repeated breach of this section.

12. Third-party suppliers

Apeiron arranges bookings and purchases with independent third parties — restaurants, hotels, airlines, event organisers, retailers and similar suppliers. Those suppliers, not Apeiron, are responsible for the service or goods they provide. Our role is to source, negotiate and arrange these on your behalf, and to act as your advocate if something goes wrong.

13. Intellectual property

The Apeiron name, logo, app and all associated content and design are owned by Apeiron Private Concierge Ltd or its licensors. You may not copy, reproduce or use any of it outside of your personal use of the app, without our prior written consent.

14. Suspension & termination

You may cancel your membership at any time by contacting us; cancellation takes effect at the end of your current paid membership period, and section 6 (fees are non-refundable) continues to apply.

We may suspend or terminate your membership, with notice where reasonably possible, if you breach these terms, fail to pay a fee that is due, or if we reasonably believe your continued membership would put our team, our suppliers or other members at risk.

15. Limitation of liability

Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else which cannot lawfully be limited or excluded.

Subject to that, our liability to you for any single claim arising out of your Apeiron membership is limited to the amount you have paid us for the specific booking or membership fee giving rise to the claim. We are not liable for the acts, omissions or failures of third-party suppliers, which is a matter between you and that supplier (though we will always try to help resolve it).

16. Indemnity

You agree to reimburse us for any loss we suffer as a direct result of your breach of these terms, your unlawful use of Apeiron, or the actions of a personal assistant you have added to your account.

17. Changes to these terms

We may update these terms from time to time, for example to reflect a change in our services or the law. Where a change is material, we will let you know in the app or by email in advance of it taking effect. Continuing to use Apeiron after a change takes effect means you accept the updated terms.

18. Governing law & disputes

These terms, and any dispute arising out of or in connection with them or your Apeiron membership, are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, save that if you live elsewhere, mandatory consumer protections in your own country may also apply and are not affected by this clause.
